Job description

Your Responsibilities
Ensure full compliance with Belgian and EU laws applicable to listed companies, including the Belgian Corporate Governance Code, FSMA regulations, and Euronext requirements.
Organize and manage shareholder and board meetings, ensuring decisions are properly documented and implemented.
Oversee market abuse and insider trading policies, maintain accurate insider lists, and manage disclosure obligations.
Monitor legal and regulatory developments, proactively adapting internal governance practices.
Provide legal advice on mergers & acquisitions, corporate restructurings, and the establishment or dissolution of legal entities.
Support various corporate departments such as Finance, HR, ESG, and ICT with expert legal guidance.
Collaborate with Compliance to identify local compliance needs and drive continuous improvements.
Lead or contribute to regional and global legal initiatives and projects.
Foster a culture of integrity, accountability, and operational excellence across the organization.

Requirements

Master’s degree in Law, preferably with a specialization in Corporate Law.
6 to 10 years of proven experience in Belgian corporate law and governance, specifically related to listed companies.
Strong knowledge of shareholder rights, director duties, contract law, and cross-border transactions.
Familiarity with FSMA regulations, MAR, Euronext rules, and disclosure requirements.
Experience with legal knowledge management systems and best practices for updating legal frameworks.
Ability to work independently while effectively collaborating within an international matrix organization.
Understanding of FMCG business operations and regulatory environments is a plus.
Proficient in Dutch; knowledge of English and/or French is advantageous.
